which incl. acq., disp., strategic mgrs., de-SPACs, take-private transact.,
JVs, spin-offs & eq. investments. Advise clients considering or particip.
in these transact. Negotiate & prepare corresp. transact. docs. Oversee
& coord. buy-side due dilig. & sell-side outreach, incl. negot. of
NDAs, in proprietary transact. & auct. processes. Prepare & review
publ. disclosure filings. Advise clients re: internal restructuring & prepare
& review corresp. documentation. Advise publ. co’s & boards of dir. re:
gen. corp. matters, fiduciary duties, shareholder activism defense and prepare
corresp. documentation & presentations. $390,000 per year. Req’mts: JD or foreign
