PE firms, alternative asset mgrs. in conn. w/ transact. incl. liability mgmt.
transact., high-yield bond offerings, IPOs, follow-on & secondary equity
offerings, debt & eq-linked offerings, business combinations. Provide lgl
& strategic advice, regulatory guidance to clients contempl. or particip.
in these transact. Prepare, review, negotiate all transact. docs &
disclosure pkg. for each transact. Correspond directly w/ SEC & other reg.
entities, w/ auditors. Oversee due dilig. processes. Advise on matters involving
public co. governance & reporting. Advise company boards of directors. $365,000
per year. Req’mts: JD or foreign equiv, NY Bar, 2 yrs of exp. in position or 2
yrs. of alternate occupational exp. performing complex capital markets
